This session will be of interest both to practitioners in relation to their own practice units as well as in advising clients generally on their own company structures.

Who are a business's key people and what happens in the event that they are no longer able to carry out their roles? Whether a Partnership, LLP or a Limited Company these are issues that most businesses need to consider from time to time and address.

This session will uniquely cover matters both from the legal perspective considering amongst other things shareholders and partnership agreements, valuations, cross options and share buy backs as well as from the insurance side looking at the common issues arising from insurances and the trust documents around them.

Speakers

Craig McKerracher

Craig is a Partner in Harper Macleods' Corporate team who advises on the full spectrum of private company Corporate/M&A activity servicing a broad mix of owner managed businesses. Craig is widely recognised as Scotland's leading adviser on Business Improvement Districts in Scotland, having advised the initial pathfinder Business Improvement Districts following the introduction of the enabling legislation in 2006, developing the template operational and constitutional documentation that has been widely used by Business Improvement Districts across Scotland and having acted as the sole legal adviser to Improvement Districts Scotland Limited, the overarching national advisory body for Business Improvement Districts in Scotland.

Craig has also developed a niche in advising a number of Scottish sports governing bodies on constitutional matters, including attending their AGMs to provide procedural legal advice.

Craig is the co-ordinating tutor on the Company Law elective course which forms part of the Diploma in Professional Legal Practice at the Centre for Professional Legal Studies at the University of Strathclyde.

 

David Vallance

David is a Director / Chartered Financial Planner at Tilney, a financial planning and investment management business, providing personal financial advice and investment management services to private individuals, families, business owners and trustees. He specialises in giving advice to owner-managed business and also to the public sector, particularly with regard to the USS pension scheme.

David has over 20 years of experience in the Financial Services Industry. He specialises in:
